CaseChat Overview and Summary
The primary legal issue before the court was whether the agreement was in the best interests of the unitholders. This required the court to consider the terms of the proposed agreement, the economic benefits it would bring, and whether there were any conflicts of interest that would prejudice the unitholders. The court also had to assess whether the consideration offered was fair and reasonable.
In determining the matter, the court examined the evidence provided by both parties, including expert financial reports and submissions on the potential economic benefits of the agreement. The court found that the agreement would indeed provide substantial economic benefits to the trust and its unitholders. It also concluded that there were no conflicts of interest that would prejudice the unitholders and that the consideration offered was fair and reasonable. The court therefore approved the agreement, finding that it was in the best interests of the unitholders.
