Gruzman Pty Ltd v Bateman (trading as the Bateman Photographic Group)

Gruzman Pty Ltd (the appellant) appealed to the New South Wales Court of Appeal against a decision of the Supreme Court of New South Wales. The dispute concerned the appellant's entitlement to commission on the sale of a property at 14 Rosemont Avenue, Woollahra, which was sold by the respondent, Mr. Bateman, trading as The Bateman Photographic Group. The appellant claimed it had introduced the ultimate purchaser to the property and was therefore entitled to commission under an exclusive agency agreement.

The primary legal issue before the Court of Appeal was whether the appellant had successfully established that it was the effective cause of the sale of the property, thereby entitling it to commission. This involved determining whether the introduction of the purchaser by the appellant was the causa causans, or the decisive cause, of the subsequent sale. The court also considered the terms of the exclusive agency agreement and whether the respondent had acted in a way that frustrated the appellant's efforts to earn its commission.

The Court of Appeal found that while the appellant had introduced the purchaser to the property, the subsequent negotiations and the ultimate sale were not a direct consequence of that introduction. The court applied the principle that to be entitled to commission, the agent must be the effective cause of the sale. In this instance, the purchaser had inspected the property previously through another agent and had made a prior offer that was rejected. The respondent had then independently negotiated with the purchaser, leading to a revised offer and sale. The court concluded that the respondent's independent actions, rather than the appellant's introduction, were the effective cause of the sale.

Consequently, the appeal was dismissed, and the appellant was not entitled to the commission claimed.
