George Weston Foods Limited v Golden Circle Limited

George Weston Foods Limited (GWF) and Golden Circle Limited (GCL) were parties to a dispute concerning the interpretation of a deed of settlement. The matter came before Kirov J in the Supreme Court of Queensland. The core of the dispute revolved around whether GCL was entitled to recover certain costs from GWF under the terms of the deed, specifically in relation to a previous legal proceeding involving a third party, Sunbeam Corporation Limited.

His Honour considered the context of the deed, noting that it was intended to resolve all outstanding liabilities between the parties concerning the Sunbeam litigation. The Court applied principles of contractual interpretation, focusing on the ordinary meaning of the words used and the commercial purpose of the deed. His Honour concluded that the costs incurred by GCL in the subsequent Sunbeam action were indeed costs "arising from or in connection with" the original Sunbeam proceeding, as they were a direct consequence of the underlying dispute that the deed sought to settle.

Consequently, Kirov J found in favour of Golden Circle Limited, holding that George Weston Foods Limited was liable to indemnify GCL for the costs incurred in the subsequent Sunbeam litigation.
