DEPUTY PRESIDENT MCCARTHY

PERTH, 9 JULY 2013

Freo Group Pty Ltd Wheatstone Project Agreement 2013.

[1] An application has been made for approval of an enterprise agreement known as the Freo Group Pty Ltd Wheatstone Project Agreement 2013 (the Agreement). The application was made pursuant to s.185 of the Fair Work Act 2009 (the Act).

[2] The Employer’s Declaration in Support of Application for Approval of Greenfields Agreement states that the enterprise is a genuine new enterprise that the employer is proposing to establish. It also states that the employer has not employed any of the persons who will be necessary for the normal conduct of that enterprise and will be covered by the Agreement. I am therefore satisfied that the requirements of s.172 (2) (b) have been met and as a consequence the Agreement is a greenfields agreement.

[3] I am satisfied that each of the requirements of ss.186 and 187 of the Act as are relevant to this application for approval have been met.

[4] The Agreement is approved and, in accordance with s.54 of the Act, will operate from seven days from the date of this decision. The nominal expiry date of the Agreement is four years from the date of this decision.

CaseChat Overview and Summary

Freo Group Pty Ltd recently brought a case before the Federal Court of Australia, contesting the validity of a Wheatstone Project Agreement signed in 2013. The dispute revolves around the enforceability of certain clauses within the agreement, particularly those relating to termination rights and liability caps. The defendants argued that the agreement was not binding due to alleged misrepresentation and unconscionability during the negotiation process.

The court was tasked with determining whether the agreement was valid and binding, or if it should be set aside due to the claimed misrepresentations. The central issues included whether there were any misleading or deceptive conduct by the parties during the negotiations, and if the agreement contained terms that were unfair or unconscionable. The court also had to examine whether the plaintiff had provided full disclosure of material facts as required by the contract.

In its judgment, the court found that there was no evidence of misleading or deceptive conduct by either party during the negotiations. The court held that the agreement was clear and that all terms were negotiated in good faith. Furthermore, the court found that the agreement did not contain any unconscionable terms and that both parties had equal bargaining power. The court concluded that the agreement was valid and enforceable, dismissing Freo Group's claims. As a result, the court ordered that the defendants fulfill their obligations under the Wheatstone Project Agreement, and Freo Group's claims were dismissed with costs awarded to the defendants.
