Communications Group (Australia) Pty Ltd v Brien

Communications Group (Australia) Pty Ltd (the appellant) appealed to the New South Wales Court of Appeal against a decision of the Supreme Court of New South Wales. The dispute concerned the appellant's claim for damages against the respondent, Mr Brien, for alleged breaches of a written agreement. The agreement stipulated that the respondent would not, for a period of two years after ceasing employment with the appellant, solicit or endeavour to procure business from any of the appellant's clients.

The court reasoned that the covenant was limited to active solicitation or procurement of business. The evidence did not establish that the respondent had actively approached or sought business from the appellant's clients. Instead, the clients had approached the respondent. The court applied the principle that restrictive covenants in restraint of trade are to be construed strictly and will not be enforced beyond the plain meaning of their terms. The court also considered the nature of the respondent's new business, which was in a different field from his previous role, and found no evidence of unfair competition or misuse of confidential information.

Consequently, the appeal was dismissed.
