Collins v Tabart

The High Court of Australia considered an appeal from a decision of the Full Federal Court concerning the interpretation of a settlement agreement. The parties to the dispute were Collins and Tabart. The core of the disagreement revolved around whether the settlement agreement, which resolved prior litigation between the parties, had been breached by Tabart.

The High Court was required to determine whether Tabart had breached the terms of the settlement agreement by failing to pay Collins a sum of money. Specifically, the court had to ascertain the proper construction of clause 3 of the settlement agreement, which stipulated the payment obligations of Tabart to Collins, and whether Tabart's actions constituted a repudiation of that agreement.

The High Court held that the language of clause 3 of the settlement agreement was clear and unambiguous. It established a contractual obligation on Tabart to pay Collins a specific sum of money by a certain date. Tabart's failure to make this payment by the stipulated deadline constituted a breach of the agreement. The court further reasoned that this breach was fundamental, amounting to a repudiation of the contract, which entitled Collins to accept the repudiation and terminate the agreement, thereby entitling Collins to claim damages for the loss of the bargain. The court rejected arguments that the clause was conditional or that Tabart had a right to set off other amounts against the payment due.

The High Court allowed the appeal, set aside the orders of the Full Federal Court, and remitted the matter to the Federal Court for determination of the amount of damages payable to Collins.
