Cargill Consulting Ltd v BTAC Coal Pty Ltd

The matter before the Court was an application by Cargill Consulting Ltd and Gordon Walker against BTAC Coal Pty Ltd and others for summary judgment. The applicants alleged that the respondents engaged in conduct that was misleading and deceptive in contravention of s 1041H of the Corporations Act 2001 (Cth) in relation to the subscription by the first applicant for shares in the first respondent, BTAC Coal Pty Ltd. The applicants alleged that they paid the subscription price but that the respondents failed to account for the moneys and issue the shares, and diverted the $50,000 to another company. The respondents filed a defence denying liability and alleging that the applicants had already been compensated in a previous claim.

The Court had to determine whether the applicants were entitled to summary judgment against the respondents. The applicants submitted that the respondents had no reasonable prospect of successfully defending the proceeding because the defence was an “unqualified denial” of the applicants’ claims. The respondents submitted that there were factual conflicts in the affidavit evidence and that the applicants had obtained a previous order against two of the respondents by consent, which created a res judicata. The Court held that it was not satisfied that the respondents had no reasonable prospect of successfully defending the proceeding because of the factual conflicts in the affidavit evidence. The Court also held that the previous order by consent did not create a res judicata because it did not determine the merits of the applicants’ claims against the other respondents.

The Court dismissed the applicants’ interlocutory application for summary judgment against the respondents. The Court ordered that there be no order as to costs.
