Canvas Graphics Pty Ltd v Heidelberg Graphic Equipment

Canvas Graphics Pty Ltd (the plaintiff) brought proceedings against Heidelberg Graphic Equipment (the defendant) in the Supreme Court of Victoria. The dispute concerned the plaintiff's claim for damages arising from alleged breaches of contract and misleading or deceptive conduct by the defendant in relation to the sale of a printing press. The plaintiff sought to recover losses it claimed to have suffered due to the press's alleged failure to perform as warranted.

The central legal issues before the High Court of Australia were whether the plaintiff had established a breach of contract by the defendant, and whether the defendant had engaged in conduct that was misleading or deceptive, or likely to mislead or deceive, in contravention of the relevant provisions of the Trade Practices Act 1974 (Cth). The High Court ultimately found that the plaintiff had failed to establish its case on both grounds. The Court analysed the contractual warranties and concluded that the evidence did not demonstrate a breach of those warranties by the defendant. Furthermore, regarding the misleading or deceptive conduct claim, the Court determined that the representations made by the defendant, when viewed in their proper context and in light of the entire course of dealings, did not amount to misleading or deceptive conduct. The Court applied principles of contractual interpretation and the established tests for misleading or deceptive conduct under the Trade Practices Act.

The High Court allowed the appeal, setting aside the judgment of the Full Court of the Supreme Court of Victoria and ordering that the plaintiff's claim be dismissed.
