The Court of Appeal, in allowing the appeal, held that the phrase "for the preceding year" in clause 4(b) referred to the twelve-month period immediately preceding the date of the rent review. The court reasoned that this interpretation gave effect to the ordinary meaning of the words used and was consistent with the commercial purpose of such rent review clauses, which are typically designed to adjust rent in line with inflation over the past year. The court applied principles of contractual interpretation, favouring a construction that gave meaning to all parts of the clause and avoided an illogical or commercially unreasonable outcome. The court ordered that the rent increase be calculated in accordance with APM's interpretation.
