CaseChat Overview and Summary

In the matter of AMC & JLT, Justice R Coleman of the Supreme Court of New South Wales was required to determine a dispute concerning the interpretation of a deed of settlement and a subsequent deed of release. The applicant, AMC, sought to enforce certain provisions of the deed of settlement, while the respondent, JLT, contended that the deed of release extinguished AMC's rights.

The central legal issue before the Court was whether the deed of release, executed after the deed of settlement, operated to extinguish AMC's claims arising under the earlier settlement agreement. This required the Court to consider the principles of contractual interpretation, particularly in relation to the construction of subsequent documents that appear to address the same subject matter as prior agreements.

Justice Coleman's reasoning focused on the plain language of both deeds and the surrounding circumstances at the time of their execution. The Court applied the principle that a deed of release will be construed according to its clear and unambiguous terms. If the terms of the release clearly and unequivocally cover the rights sought to be enforced, then those rights will be extinguished, notwithstanding the existence of a prior settlement agreement. The Court found that the language used in the deed of release was sufficiently broad to encompass the claims AMC sought to enforce, thereby operating as a complete release of those obligations.

The Court therefore dismissed AMC's application, finding that its rights had been extinguished by the deed of release.
