Agtrack (NT) Pty Ltd v Hatfield

Agtrack (NT) Pty Ltd (Agtrack) appealed to the High Court of Australia against a decision of the Supreme Court of the Northern Territory. The dispute concerned the proper interpretation of a clause in a contract for the sale of a business, specifically whether Agtrack was entitled to deduct certain amounts from the purchase price. The Supreme Court had found in favour of the respondent, Mr. Hatfield, the vendor of the business.

The High Court was required to determine the meaning and effect of clause 10.2 of the Sale and Purchase Agreement. This clause stipulated that the purchase price was to be adjusted by deducting the amount of any "outstanding liabilities" of the business as at the completion date. The central question was whether certain payments made by Agtrack after completion, which related to liabilities incurred by the business prior to completion, constituted "outstanding liabilities" within the meaning of the clause.

The High Court, in a joint judgment, held that the phrase "outstanding liabilities" referred to liabilities that were in existence and owed by the vendor at the time of completion, regardless of when the payment was actually made. The Court reasoned that the purpose of such a clause was to ensure the purchaser did not have to bear the burden of debts incurred by the vendor before the sale. Therefore, Agtrack was entitled to deduct the payments it made for pre-completion liabilities from the purchase price. The appeal was allowed.
