The Court reasoned that the purpose of such a clause was to ensure the purchaser did not have to bear the burden of debts incurred by the vendor before the sale. Therefore, Agtrack was entitled to deduct the payments it made for pre-completion liabilities from the purchase price. The appeal was allowed.
